1. Agreement and eligibility

These Terms of Service ("Terms") are a binding agreement between you and Elite Leadership Group, LLC ("Elite Leadership Group," "we," "us"). They govern your use of the TECCA Insight Suite — the TECCA Core Influence Assessment, Power Profile™ reports, Sage Intelligent Coaching™, dashboards, observer instruments, practitioner tools, and related sites, applications, and content (the "Services"). Our Privacy Notice is part of these Terms.

By creating an account, making a purchase, taking an assessment, or using the Services, you accept these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old and able to enter a binding contract. If you use the Services for an organization — as a coach, consultant, practitioner, or program sponsor — you confirm you are authorized to bind it, and "you" includes that organization. Organizational and practitioner use is also governed by Section 9 and by any separate written agreement, which controls if the two conflict.

2. What the Services are — and are not

2.1 Developmental purpose. The Services provide a behavioral self-report assessment, reports, and coaching content for personal and professional development, self-awareness, coaching, and team development. Results describe the behaviors a respondent reported over a defined period, organized within our published framework.

2.2 What results are not. Results are not a measure of personality, intelligence, ability, potential, character, or fitness for any role; not a psychological, clinical, medical, or diagnostic evaluation; and not a prediction of job performance. Our current evidence status, including what has and has not been established about reliability, validity, and normative comparison, is described in the Services' published limitations disclosure, which is incorporated into these Terms.

2.3 Evolving instrument. The Services are in an early-evidence, actively developed stage. Assessment versions, scoring configurations, and content may change. Every result is versioned so that reports already delivered remain reproducible, and material changes to what results represent will be disclosed in the Services.

2.4 Prohibited employment use. The Services are not validated for, and may not be used as a basis for, hiring, promotion, compensation, termination, discipline, performance rating, succession, selection, or any other consequential employment or educational decision about any person. This prohibition binds you, any organization you act for, and anyone you share results with. Use in violation of this Section is a material breach and grounds for immediate termination.

2.5 No professional advice. Nothing in the Services — reports, coaching content, or Sage — is medical, psychological, legal, financial, or other professional advice, and nothing creates a professional–client relationship.

3. Accounts and security

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for activity under your account. Notify us promptly at contact@eliteleadershipcenter.com of any unauthorized use. We may suspend accounts we reasonably believe are compromised or in breach of these Terms.

4. Intellectual property and confidentiality

4.1 Ownership. The Services and all content in them — the TECCA Influence System™ and Five Foundations of Influence Framework™, assessment items and structure, scoring methods, zones, archetypes, report and coaching content, software, designs, trademarks, and documentation — are owned by Elite Leadership Group or its licensors and protected by copyright, trademark, trade-secret, and other laws. All rights not expressly granted are reserved.

4.2 Assessment content is confidential. Assessment items, response scales, scoring logic, and unpublished content are confidential and proprietary. You agree not to copy, photograph, screenshot, transcribe, record, disclose, publish, distribute, reverse-engineer, or otherwise reproduce them, in whole or in part, or assist anyone else in doing so. This obligation survives termination.

4.3 Your license. Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable license to use the Services for their developmental purpose, and to use the reports generated for you for your personal development and with your chosen coach or practitioner.

4.4 Restrictions. You may not: sell, resell, sublicense, or commercially exploit the Services or content; create derivative works from assessment content; use automated means to access the Services; use the Services or any content to train, fine-tune, evaluate, or benchmark any artificial-intelligence or machine-learning system; remove proprietary notices; misrepresent results or attribute to us statements we did not make; or use the Services in violation of law or Section 2.4.

4.5 Feedback. If you give us suggestions or feedback, we may use them without obligation to you.

4.6 Trademarks. TECCA™, TECCA Influence System™, Power Profile™, Sage Intelligent Coaching™, archetype and zone names, and related marks are trademarks of Elite Leadership Group. These Terms grant no right to use them.

5. Your responses and your results

5.1 Your responses. You own the information you provide. You grant us a worldwide, non-exclusive, royalty-free license to store, process, analyze, and display your responses and derived results to provide the Services, maintain the security and integrity of the Services and instruments, and as described in the Privacy Notice.

5.2 Your results record belongs to you. Your identifiable results — scores, zones, archetypes, and reports generated from your responses — are your personal record. We do not sell them. We do not disclose your identifiable results to an employer, sponsor, or organization unless you expressly direct us to. The report formats, content library, scoring methods, and framework in which your results are expressed remain our intellectual property under Section 4.

5.3 Organizational programs. In programs sponsored by an organization, sponsors receive only participation status and aggregated, de-identified information protected by minimum-group-size rules, released only through an authorized practitioner. See Section 9 and the Privacy Notice.

5.4 Research and improvement. We may use your responses to study and improve the instruments and to develop normative data, as our Privacy Notice describes. Findings are published only in aggregate. You may object at any time from Settings. Objecting stops future inclusion but does not affect analyses already completed or datasets already frozen, and it never affects your access or your own results.

5.5 Export and deletion. You may export the data we hold about you and delete your account from Settings, subject to Section 12.4 and the Privacy Notice.

6. Sage Intelligent Coaching™

6.1 What Sage is. Sage is an artificial-intelligence coaching feature. Its responses are generated by automated language models informed by your assessment results and, where you have enabled it, your prior Sage conversations. Sage is not a human. No human participates in or monitors Sage conversations in real time.

6.2 What Sage is not. Sage is not a licensed counselor, therapist, psychologist, physician, attorney, or financial advisor. It does not provide clinical, medical, mental-health, legal, or financial advice, diagnosis, or treatment, and it is not a crisis service. If you are experiencing an emergency or thoughts of harming yourself or others, contact your local emergency number (911 in the U.S.) or call or text 988, the U.S. Suicide & Crisis Lifeline.

6.3 Accuracy and your judgment. AI-generated content may be inaccurate, incomplete, or unsuited to your situation. You are responsible for evaluating Sage's output and for any decisions you make. Sage output is not a representation or warranty by Elite Leadership Group.

6.4 Usage limits. Sage access depends on your tier and is subject to reasonable usage limits, which we may adjust to preserve quality and safety.

6.5 Conversation handling. Sage conversations are processed by us and by AI service providers under contract, as described in the Privacy Notice. De-identified excerpts may be reviewed by us for safety and quality. Memory across sessions is enabled only with your separate consent, which you can withdraw in Settings. Do not enter information about other identifiable individuals beyond what is reasonably necessary for your own development.

7. Observer instruments

If you invite others to provide observer ratings: you must have a genuine working relationship with each person you invite and may not misrepresent who you are or why you are inviting them; observers participate voluntarily under a separate Observer Consent presented to them at the time of rating; individual observer identities and responses are confidential and are never disclosed to the person rated; and observer results appear only in aggregate, subject to minimum-group-size rules, and may be withheld where those rules are not met.

8. Purchases, subscriptions, and refunds

8.1 Tiers. Paid features are sold as one-time tiers or recurring subscriptions as described at the point of purchase. Prices and features may change; changes do not affect completed purchases.

8.2 Payment. Payments are processed by third-party payment processors. We do not store full payment-card numbers.

8.3 Automatic renewal. If you purchase a subscription, you authorize us to charge your payment method at the stated price and interval until you cancel. Before any price change, we will notify you in advance. You may cancel at any time from Settings; cancellation takes effect at the end of the current billing period, and you keep access through that period. If you delete your account, any subscription ends at once and is not refunded for the rest of the period, except as stated in Section 8.6 or where the law requires. We will send renewal reminders where required by law.

8.4 All sales final. All purchases are final, and payments are non-refundable, including for any unused part of a subscription period, except as stated in Section 8.6 or where required by law. We may, at our discretion, issue a refund or credit in a particular case; doing so does not oblige us to do so in any other case. One-time tiers do not renew.

8.5 Taxes. Prices exclude applicable taxes unless stated.

8.6 Consumers in the United Kingdom and the European Union. If you are a consumer in the United Kingdom or the European Union, the law gives you 14 days to withdraw from an online purchase. Assessments and reports are digital content: when you buy one, you ask us at checkout to give you access immediately and acknowledge that you lose your right of withdrawal once access begins. Subscriptions are a service: if you ask for access to begin immediately and then withdraw within the 14 days, you pay for the service provided up to the time you tell us, and we refund the rest. Nothing in these Terms limits any right you have under the mandatory consumer laws of the country where you live.

9. Organizational, practitioner, and program use

Where the Services are purchased for, sponsored by, or administered through an organization, coach, consultant, or practitioner (a "Program Sponsor"):

9.1 Participant primacy. Each participant owns their identifiable results (Section 5.2). A Program Sponsor may receive only participation status, aggregated de-identified information subject to minimum-group-size rules, and any individual result a participant separately and expressly elects to share. Sponsors may not require sharing of individual results as a condition of participation, employment, or advancement.

9.2 Prohibited uses. Program Sponsors may not use the Services or results for any purpose prohibited by Section 2.4; rank, screen, or compare individuals for selection or personnel purposes; integrate results into applicant-tracking, performance-management, or HR-decision systems; or attempt to re-identify individuals from aggregated data.

9.3 Practitioners. Practitioners granted access to practitioner-facing materials agree to use them only for developmental debriefing; to present interpretations as developmental hypotheses rather than findings; to preserve observer and confidentiality protections; and to complete any certification we require. We may revoke practitioner access for breach.

9.4 Separate agreements. Enterprise, government, licensing, reseller, and data-processing terms are set out in separate written agreements, which control over these Terms to the extent of any conflict.

10. Acceptable use

You will not use the Services to harass, defame, or harm anyone; impersonate any person; submit false or fraudulent information, including deliberately distorted responses intended to manipulate research data; interfere with the security or operation of the Services; circumvent access controls or usage limits; or violate applicable law.

11. Third-party services and beta features

The Services rely on third-party providers, including hosting, payment processing, email delivery, analytics, and AI model services, each subject to its own terms; we are not responsible for services we do not control. Features labeled beta, preview, or early access are provided for evaluation, may change or be withdrawn, and are subject to the disclaimers in Section 13.

12. Term, suspension, and termination

12.1 These Terms apply from your first use until terminated. 12.2 You may stop using the Services and delete your account at any time. 12.3 We may suspend or terminate access immediately for breach (including Sections 2.4, 4, 9, or 10), for legal or security reasons, or if we discontinue the Services — in which case we will give reasonable notice and an opportunity to export where practicable. 12.4 On termination, your license ends. We retain information as described in the Privacy Notice and as required by law, including de-identified data, time-limited backups, and records needed for security, fraud prevention, dispute resolution, and compliance. Sections 2, 4, 5.1, 6.3, 13 through 17, and 19 survive termination.

13. Disclaimer of warranties

THE SERVICES, CONTENT, RESULTS, REPORTS, AND SAGE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ELITE LEADERSHIP GROUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY, AND ANY WARRANTY THAT RESULTS WILL BE RELIABLE, VALID, ERROR-FREE, OR SUITABLE FOR ANY DECISION, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR SECURE. WHERE LAW DOES NOT PERMIT A DISCLAIMER, IT APPLIES TO THE MAXIMUM EXTENT PERMITTED.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELITE LEADERSHIP GROUP AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR EMPLOYMENT OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES, UNDER ANY THEORY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS. THESE LIMITATIONS ARE FUNDAMENTAL TO THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15. Indemnification

You will defend, indemnify, and hold harmless Elite Leadership Group and its members, officers, employees, and contractors from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms (including any use prohibited by Sections 2.4, 4, or 9), your violation of law or a third party's rights, or any decision you or a Program Sponsor makes about any person using or purporting to rely on the Services.

16. Governing law and disputes

These Terms are governed by the laws of the State of Kansas and applicable U.S. federal law, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us at contact@eliteleadershipcenter.com and attempt in good faith to resolve the dispute for at least thirty days. Any claim not resolved will be brought exclusively in the state or federal courts located in Sedgwick County, Kansas, and you consent to their jurisdiction. To the extent permitted by law, any claim must be filed within one year after it arises.

17. General

17.1 Changes to these Terms. We may update these Terms. Material changes will be announced in the Services or by email before they take effect, and may require your renewed acceptance. Each version carries an identifier and effective date, and prior versions are available on request. 17.2 Electronic communications. You consent to receive notices and communications from us electronically, and agree that electronic records and signatures satisfy any legal writing requirement. 17.3 Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control. 17.4 Entire agreement; severability; waiver. These Terms, the Privacy Notice, and any applicable separate agreement under Section 9.4 are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. 17.5 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets; your information will remain governed by the then-current Privacy Notice. 17.6 Export and sanctions. You represent that you are not located in a jurisdiction subject to comprehensive U.S. sanctions and are not on any U.S. restricted-party list. 17.7 U.S. Government users. The Services are commercial products and commercial computer software and documentation. Government users acquire only the rights set out in these Terms or an applicable separate agreement.
